You must promptly notify us if you believe your account has been accessed without authorization.
You may not share account credentials in a manner that violates Pathfinder’s security requirements or applicable law.

7. User Content
You retain ownership of content you submit to Pathfinder, including resumes, application information, interview responses, written responses, documents, and other materials you provide.
You grant NextPath a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, format, process, analyze, and otherwise use your submitted content as reasonably necessary to operate Pathfinder and provide the features you request.
This permission may include transmitting submitted content to third-party service providers, including AI providers, hosting providers, infrastructure providers, security providers, and other vendors that support Pathfinder.
This license does not transfer ownership of your content to NextPath.
The license ends when your content is deleted from our systems, except to the extent retention is necessary for legal compliance, security, fraud prevention, dispute resolution, backup systems, or other legitimate purposes described in the Privacy Policy.
8. Your Responsibility for Submitted Content
You represent that you have the rights, permissions, and authority necessary to submit content through Pathfinder.
You may not knowingly submit content that infringes another person’s intellectual-property, privacy, confidentiality, publicity, contractual, or other rights.
You are responsible for the content you submit and for reviewing information before relying on or distributing it.
9. AI Features
Pathfinder may use artificial intelligence, machine-learning models, automated systems, and third-party AI providers.
AI-generated results may contain errors, omissions, inaccuracies, inconsistencies, or inappropriate recommendations.
AI output may reflect limitations or biases present in the underlying technology or information provided to the system.
AI output is provided as an informational tool and is not a guarantee of accuracy or outcome.
You are responsible for reviewing AI-generated content before using, submitting, sharing, or relying on it.
AI-generated content does not constitute legal, medical, financial, tax, or other professional advice.
10. Employment Decisions
Pathfinder does not guarantee employment.
Pathfinder does not guarantee an interview, job offer, candidate submission, placement, compensation, promotion, or any other employment outcome.
Use of Pathfinder does not require NextPath to submit you for any position.
NextPath may independently determine whether, when, and how a candidate is considered for an opportunity.
Information generated by Pathfinder does not create an entitlement to consideration for any position.
11. Recruiter and Client Decisions
Employment decisions may depend on information and factors outside Pathfinder.
NextPath, recruiters, clients, prospective employers, and other authorized parties may independently evaluate candidates.
Pathfinder does not guarantee that information generated through its tools will be used by a recruiter, client, or prospective employer.
Pathfinder does not guarantee that any particular employer will review, respond to, interview, hire, or otherwise engage with you.
12. No Professional Advice
Pathfinder is not a substitute for professional advice.
Information generated by Pathfinder should not be treated as legal, financial, medical, tax, immigration, or other professional advice.
You should consult an appropriately qualified professional when professional advice is required.
13. Privacy
Your use of Pathfinder is subject to the Pathfinder Privacy Policy.
The Privacy Policy describes the categories of information collected, purposes of processing, disclosures, service providers, retention practices, user rights, and other privacy practices.
The Privacy Policy is incorporated into these Terms by reference to the extent permitted by law.
14. Third-Party Service Providers
Pathfinder may depend on third-party providers for hosting, infrastructure, authentication, analytics, security, communications, AI processing, storage, monitoring, and other services.
These providers may process information on behalf of NextPath as necessary to provide their services.
Third-party providers may have their own terms and policies.
NextPath does not control third-party services and does not guarantee that third-party services will always be available, uninterrupted, error-free, or secure.
Nothing in this section permits NextPath to use information in a manner inconsistent with its Privacy Policy or applicable law.
15. Third-Party Links and Services
Pathfinder may contain links to third-party websites, applications, or services.
Third-party services are not controlled by NextPath.
Your use of third-party services may be governed by separate terms and privacy policies.
NextPath is not responsible for third-party content, policies, security, availability, or practices except to the extent required by applicable law.
16. Intellectual Property
Pathfinder, including its software, interface, design, functionality, text, graphics, branding, documentation, and other proprietary materials, is owned by or licensed to NextPath.
These Terms do not transfer ownership of Pathfinder or NextPath’s intellectual property to you.
Except as expressly permitted by law or these Terms, you may not reproduce, modify, distribute, sell, license, publicly display, publicly perform, reverse engineer, or create derivative works from Pathfinder or its proprietary materials.
17. Feedback
If you voluntarily provide suggestions, ideas, recommendations, or other feedback regarding Pathfinder, you grant NextPath permission to use that feedback without restriction or compensation, to the extent permitted by law.
You retain ownership of separate intellectual property that you independently own and that is not part of the feedback itself.
18. Service Availability
Pathfinder is provided on an “as is” and “as available” basis.
We do not guarantee that Pathfinder will:
- Be continuously available.
- Operate without interruption.
- Be free from errors.
- Be free from security vulnerabilities.
- Work with every device, browser, operating system, network, or third-party service.
- Preserve every piece of information without interruption or loss.
Maintenance, updates, security measures, outages, third-party failures, network problems, technical issues, and circumstances outside our reasonable control may affect availability.
19. Changes to Pathfinder
We may modify, update, suspend, restrict, or discontinue Pathfinder or any feature.
We may introduce new features, impose reasonable usage limits, change technical requirements, or discontinue features.
We are not required to maintain backward compatibility with previous versions.
20. Disclaimers
To the fullest extent permitted by applicable law, Pathfinder is provided without warranties of any kind, whether express, implied, statutory, or otherwise.
To the fullest extent permitted by law, NextPath disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and suitability for your particular circumstances.
Nothing in these Terms excludes or limits a warranty, right, or remedy that cannot legally be excluded or limited.
21. Limitation of Liability
To the fullest extent permitted by applicable law, NextPath and its officers, directors, employees, affiliates, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to Pathfinder.
This includes, to the extent permitted by law, loss of profits, revenue, data, goodwill, business opportunities, employment opportunities, anticipated employment, or other intangible losses.
To the fullest extent permitted by applicable law, NextPath’s total aggregate liability arising out of or relating to Pathfinder or these Terms will not exceed the greater of:
(a) the amount you paid to NextPath specifically for Pathfinder during the twelve months preceding the event giving rise to the claim, or
(b) $100.
This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, warranty, statute, or otherwise, except to the extent such limitation is prohibited by applicable law.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
22. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless NextPath and its officers, directors, employees, affiliates, contractors, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- Your violation of these Terms.
- Your misuse of Pathfinder.
- Your violation of applicable law.
- Content you submit.
- Your violation of another person’s rights.
- Your unauthorized use of Pathfinder.
- Your fraudulent, abusive, or unlawful conduct.
This obligation does not apply to the extent prohibited by applicable law.
23. Suspension and Termination
We may suspend or terminate access to Pathfinder when reasonably necessary to:
- Enforce these Terms.
- Protect Pathfinder or its users.
- Address security concerns.
- Prevent fraud or abuse.
- Comply with law.
- Protect our rights or property.
- Address conduct that creates material risk to NextPath or another person.
You may stop using Pathfinder at any time.
Termination does not automatically require deletion of information that NextPath is legally required or otherwise permitted to retain under the Privacy Policy.
24. Effect of Termination
Sections concerning ownership, intellectual property, user content, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and other provisions that by their nature should survive termination will survive termination.
25. Electronic Communications
By using Pathfinder, you agree that we may communicate with you electronically regarding your account, use of Pathfinder, security, service changes, transactions, legal notices, and other service-related matters.
Where applicable law requires a separate consent for marketing communications or other communications, that consent will be obtained separately.
26. Legal Notices
We may provide notices electronically through Pathfinder, by email, or through another reasonable method.
You are responsible for maintaining current contact information associated with your account.
A notice sent to the email address associated with your account may be considered received when sent, subject to applicable law.
27. Changes to These Terms
We may revise these Terms when Pathfinder, applicable law, business practices, or security requirements change.
The updated “Last updated” date will identify the current version.
For material changes, we may provide additional notice when required by applicable law or when we determine it is appropriate.
Where required by law, we will obtain additional consent before applying material changes to existing users.
Your continued use of Pathfinder after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
28. No Retroactive Expansion of Data Rights
Nothing in an updated version of these Terms automatically grants NextPath broader rights to use personal information where applicable law requires additional notice or consent.
Changes to data practices will be handled in accordance with the Privacy Policy and applicable law.
29. Dispute Resolution
Any dispute-resolution process must be interpreted and enforced only to the extent permitted by applicable law.
If counsel approves a binding arbitration provision, the final published Terms should include a separately reviewed arbitration agreement addressing:
- Covered claims.
- Claims excluded from arbitration.
- Applicable arbitration rules.
- Arbitration location.
- Selection of the arbitrator.
- Allocation of arbitration costs.
- Available remedies.
- Small-claims procedures.
- Individual arbitration requirements.
- Class-action waiver.
- Representative-action waiver where legally permitted.
- Jury-trial waiver where legally permitted.
- Procedure for initiating a claim.
- Notice requirements.
- Statute-of-limitations treatment.
- Severability.
- Opt-out rights, if counsel determines an opt-out mechanism is appropriate.
No arbitration or class-action provision should be added to the production version without legal counsel reviewing the exact language and implementation.
30. Class and Representative Proceedings
To the extent permitted by applicable law, any provision limiting class, collective, consolidated, or representative proceedings must be drafted and implemented by counsel.
Nothing in these Terms is intended to waive a right that cannot lawfully be waived.
31. Governing Law
These Terms are governed by applicable federal law and the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
Any venue provision must be reviewed by counsel for enforceability and consistency with applicable consumer-protection laws.
32. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law.
If it cannot be enforced, it will be severed to the minimum extent necessary.
The remaining provisions will remain in effect.
33. Waiver
A failure to enforce any provision of these Terms does not waive the right to enforce that provision later.
A waiver must be made in writing unless applicable law provides otherwise.
34. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise.
NextPath may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, corporate restructuring, or similar transaction, subject to applicable law.
35. No Partnership or Agency
These Terms do not create a partnership, joint venture, agency, employment, fiduciary, or franchise relationship between you and NextPath.
36. Force Majeure
NextPath will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, governmental actions, telecommunications failures, internet outages, cyber incidents, infrastructure failures, labor disputes, third-party service failures, or other events beyond reasonable control, except to the extent applicable law provides otherwise.
37. Entire Agreement
These Terms, together with the Privacy Policy and any applicable feature-specific terms, constitute the agreement governing your use of Pathfinder.
If a conflict exists, the applicable feature-specific terms control only for that feature, and the Privacy Policy controls with respect to privacy and data-processing practices.
38. No Waiver of Legal Rights
Nothing in these Terms is intended to waive or restrict rights or remedies that cannot legally be waived or restricted.
Nothing in these Terms limits protections provided by applicable consumer-protection, privacy, employment, accessibility, or other laws.
